1. Acceptance of Terms

By accessing and using The Cube Academy's Learning Management System and related services ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. These Terms & Conditions ("Terms") constitute a legal agreement between you ("User," "Learner," or "Customer") and The Cube Academy ("Academy," "we," "us," or "our").

2. Description of Service

The Cube Academy provides a cloud-based Learning Management System (LMS) designed to deliver online education, skill-building programs, and training experiences. Our Service includes but is not limited to course hosting, interactive learning modules, progress tracking, assessments, certifications, virtual classrooms, resource libraries, and tools for instructors and learners, accessible via web interface and mobile devices.

3. User Registration and Account Security

3.1 Account Creation

To use our Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

  • You must notify us immediately of any unauthorized access to your account.
  • You are responsible for all activities conducted through your account.
  • We recommend using strong passwords and enabling two-factor authentication.
  • You must not share your login credentials with unauthorized persons.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our Service for legitimate educational and personal/professional development purposes in accordance with these Terms.

4.2 Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Upload malicious code or attempt to breach security
  • Interfere with or disrupt the Service or servers
  • Engage in any form of harassment, abuse, or discriminatory behavior
  • Attempt to reverse engineer, decompile, or modify the Service
  • Copy, reproduce, or share course materials beyond what is expressly permitted for personal learning
  • Use the Service for unauthorized commercial purposes or competitive analysis without consent

5. Subscription and Payment Terms

5.1 Subscription Plans

We offer various subscription plans, course packages, bootcamp enrollments, and access tiers with different features, content libraries, and usage limits (for individual learners, organizations, or corporate training). Fees are due in advance and are non-refundable except as expressly stated in our refund policy.

5.2 Payment and Billing

  • Payments are processed securely through our third-party payment providers.
  • Subscription or course fees are charged automatically on the renewal date (where applicable).
  • You must provide accurate and complete billing information.
  • Price changes will be communicated with 30 days' advance notice.
  • Overdue accounts may result in suspension of access to courses or the Service.

5.3 Cancellation and Refunds

You may cancel your subscription or enrollment at any time. Cancellations take effect at the end of the current billing period or course term. We offer a 14-day money-back guarantee for most individual course purchases or new subscriptions where the learner cancels within the first 14 days and has not completed more than 20% of the content.

6. Data Ownership and Privacy

6.1 Your Data

You retain all rights, title, and interest in your personal data, submissions, assignments, and any content you upload (e.g., projects, forum posts). We do not claim ownership of your data. You grant us a limited license to use, host, and process your data solely to provide the Service, track progress, issue certificates, and improve our platform.

6.2 Data Security and Privacy

We implement industry-standard security measures to protect your data. Our data handling practices, including how we collect, use, and protect learner information, are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property Rights

The Service, including all courses, content, software, designs, videos, materials, logos, and trademarks, are owned by The Cube Academy or our content partners/licensors. This includes proprietary curriculum and platform features. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and enrolled course materials solely for your personal learning during the active subscription or enrollment period. You may not download, distribute, or share course content except as explicitly allowed (e.g., for personal reference or certificate display).

8. Service Level Agreement (SLA)

8.1 Availability

We strive to maintain 99.5% uptime for our Service, excluding scheduled maintenance, updates, or force majeure events. Downtime credits may be available as specified in our SLA documentation.

8.2 Support

We provide learner and instructor support via email, in-platform helpdesk, and community forums. Response times vary based on your plan (e.g., individual vs. corporate) and issue severity. Live chat or priority support may be available for premium plans or group enrollments.

9. Limitation of Liability

To the maximum extent permitted by law, The Cube Academy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of progress, interruption of learning, or missed career opportunities, arising out of your use of the Service, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold The Cube Academy harmless from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, your infringement of third-party rights, or any inappropriate content you submit.

11. Termination

11.1 Termination by You

You may terminate your account or cancel enrollments at any time through your account settings or by contacting support.

11.2 Termination by Us

We may terminate or suspend your account immediately if you breach these Terms, engage in academic misconduct (e.g., cheating on assessments), upload inappropriate content, or fail to pay fees. Upon termination, access to the Service and enrolled courses will cease, and we may delete your data after a reasonable grace period (typically 30 days for paid users).

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the Chartered Institute of Arbitrators (Kenya Branch), except that you may bring claims in small claims court if they qualify.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced with a valid provision that most closely matches the intent of the original.
